User Agreement

This User Agreement (the "Agreement") is a contract between you and ALSES BIOTECH (USA) LLC ("alsesAI", "we", "us") governing your use of www.alsesai.com and related services (the "Platform"). By accessing or using the Platform you accept this Agreement, our Privacy Policy, and the alsesAI Rules, which are incorporated by reference.

1. Eligibility and Accounts

• You must be at least 18 years old and capable of forming a binding contract.
• You are responsible for everything done under your account and for keeping your credentials confidential.
• You must provide accurate registration information. Impersonation of persons or institutions is prohibited.
• Guests may use limited features (including a small number of free AI questions); full features require an account.

2. The Service

The Platform connects the public with life-science research: an AI science assistant, a community (Q&A, ideas, announcements), literature sharing, an IP Vault for showcasing granted patents and blockchain timestamping, institutions and their members, direct messages, and a Gene points system. We may add, change, or discontinue features at any time with reasonable notice where practicable.

3. AI Features — No Professional Advice

• AI answers and "plain words" explanations are generated by third-party large language models and may be wrong, incomplete, or outdated. They are provided for general education only.
• Nothing on the Platform is medical, diagnostic, treatment, legal, or investment advice. Always consult qualified professionals. Never disregard professional advice because of Platform content.
• You are responsible for how you use AI output. Do not submit confidential, patient, export-controlled, or third-party proprietary data to the AI assistant.

4. Your Content

• You retain ownership of content you create. By posting publicly, you grant us a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and distribute that content on and through the Platform.
• You represent that you own or have rights to everything you post, and that it complies with the Rules.
• We may remove or restrict content that violates the Rules or law, with or without notice.

5. IP Vault and Blockchain Timestamps

• Patent showcases are informational displays only and do not constitute patent applications, legal filings, or proof of ownership in any jurisdiction. Blockchain timestamps evidence that a hash existed at a point in time; they are not legal advice and confer no IP rights.
• Blockchain records are permanent and public. Once anchored, they cannot be altered or deleted. Do not timestamp confidential material.

6. Gene Points

• Gene is a virtual points system used inside the Platform (e.g., to extend AI usage). Gene has no cash value, is not transferable outside the Platform, is not redeemable for money, and is not a financial instrument.
• We may adjust earning and spending rules prospectively. Gene obtained by fraud or rule violations may be revoked. Unused Gene may be forfeited if an account is terminated for cause.

7. Paid Memberships

• Tiers: personal memberships (including Pro, Ultra, and limited "Founder" lifetime tiers — the Founder tier is limited to the stated number of seats and remains valid for the lifetime of the Platform) and institution plans with a stated number of seats.
• Billing: subscription tiers renew automatically until cancelled. Payments are processed by Stripe; you authorize us (through Stripe) to charge your saved payment method. Prices are in USD and may exclude applicable taxes.
• 7-day refund: you may request a full refund within 7 days of a payment (one click in Manage billing). After the window closes, payments are non-refundable except as required by law. Founder lifetime purchases carry the same 7-day window.
• Cancellation: you may cancel a subscription at any time; cancellation stops future renewals and your benefits continue until the end of the paid period. Lifetime tiers do not renew and need no cancellation.
• We may change prices for future billing periods with advance notice; changes never apply retroactively.

8. Acceptable Use

You agree to follow the alsesAI Rules. In summary: no illegal goods or services, no child exploitation or trafficking content, no harassment, no scientific fraud, no spam or manipulation, no privacy violations, no IP infringement, no abuse of the AI features, and no interference with the Platform (scraping, attacks, bypassing limits or safety systems).

9. Institutions

• Institution pages are administered by their admin, who is responsible for member management and for content posted under the institution identity.
• Institution console credentials (email + password) may be shared among authorized members at the institution's own risk.
• Institution subscriptions cover the stated number of member seats; add-on packages may be offered to extend capacity.

10. Copyright (DMCA)

To report copyright infringement, send a notice containing: (a) identification of the work infringed; (b) identification and location of the infringing material on the Platform; (c) your contact information; (d) a good-faith statement; (e) a statement under penalty of perjury that you are authorized to act; and (f) your physical or electronic signature — to andy@alsesbio.com. We may terminate repeat infringers.

11. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT CONTENT (INCLUDING AI OUTPUT AND USER CONTENT) IS ACCURATE, RELIABLE, OR SAFE TO RELY ON.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALSES BIOTECH (USA) LLC AND ITS OFFICERS, EMPLOYEES, AND PARTNERS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM. OUR AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE PLATFORM IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD 100.

13. Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your content, your violation of this Agreement or the Rules, or your violation of any law or third-party right.

14. Termination

You may stop using the Platform and delete your account at any time. We may suspend or terminate accounts that violate this Agreement or the Rules, or that create risk or legal exposure. Sections that by their nature should survive (including 3–6, 11–13, and 15) survive termination.

15. Governing Law and Disputes

This Agreement is governed by the laws of the United States and of the State in which ALSES BIOTECH (USA) LLC is registered, without regard to conflict-of-laws rules. The parties will first attempt to resolve disputes informally via the contact address below; unresolved disputes shall be brought in the competent courts of that jurisdiction, and you consent to their jurisdiction, except where applicable consumer law gives you a non-waivable right to sue elsewhere.

16. General

• If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver.
• You may not assign this Agreement without our consent; we may assign it in connection with a merger, acquisition, or asset sale.
• We may update this Agreement; material changes will be announced on the Platform. Continued use after the effective date constitutes acceptance.
